1. Introduction
These Terms & Conditions ("Terms") govern your access to and use of the Optraction website, web application and related services (together, the "Service"). The Service is owned and operated by Concept Colony Limited, a company registered in the Federal Republic of Nigeria with registration number 9087914 ("Optraction", "we", "us", "our").
Please read these Terms carefully. They should be read together with our Privacy Policy, Cookie Policy and Copyright Policy.
2. Acceptance of Terms
By creating an account, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation. If you do not agree to these Terms, you must not use the Service.
3. Definitions
- Workspace — a personal or business environment within Optraction containing projects, members and settings.
- Workspace Owner / Customer — the individual or organisation that creates, controls or pays for a workspace.
- Team Member — an internal collaborator invited to a workspace or project.
- Guest / Client — an external participant invited to limited access such as a project, form or invoice.
- User Content — information, files, messages, documents and other materials you create, upload or share through the Service.
4. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create or control a paid workspace, purchase a subscription or enter into a binding commercial agreement through Optraction. By using the Service you represent that you meet these requirements and that your use complies with all laws that apply to you.
5. Accounts and Security
You are responsible for the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. You agree to use strong authentication where available, to keep your contact details accurate, and to notify us promptly at [email protected] of any unauthorised use or suspected security breach. We are not liable for loss arising from your failure to safeguard your account.
6. Workspaces, Roles and Permissions
Workspaces operate on a role and permission model. Workspace Owners and authorised administrators may manage members, permissions, projects, integrations and subscriptions, and may be able to access, export or remove workspace content. Information created within a business workspace may be controlled by the relevant Workspace Customer. You are responsible for inviting only appropriate participants and for the permissions you assign.
7. Subscriptions, Billing and Payments
Certain features require a paid subscription. Paid plans may be billed per seat or per plan, and subscriptions may renew automatically until cancelled. Payments are processed by Paystack; by purchasing a subscription you also agree to Paystack's applicable terms. You are responsible for providing valid payment information and for applicable taxes.
Unless required by law or expressly stated, fees are non-refundable. Failed payments may result in suspension or downgrade of paid features. We may change pricing on reasonable notice; changes will not apply retroactively to a billing period already paid.
8. Invoices and Client Payments
Optraction enables you to create and send invoices and to receive payments from your own clients via Paystack. You are solely responsible for the accuracy and lawfulness of invoices you issue, for the goods or services they relate to, and for any tax, refund or dispute arising between you and your clients. Optraction is not a party to transactions between you and your clients.
9. Acceptable Use
You agree not to use the Service to:
- Break any applicable law or infringe the rights of others;
- Upload unlawful, harmful, defamatory, infringing or malicious content;
- Distribute malware or attempt to gain unauthorised access to systems or data;
- Interfere with, disrupt or overload the Service or its infrastructure;
- Reverse engineer, scrape or copy the Service except as permitted by law;
- Misuse invitations, messaging or invoicing features to send spam or fraudulent communications;
- Collect or process personal data through the Service without a lawful basis.
10. User Content and Licence
You retain ownership of your User Content. To operate the Service, you grant Optraction a limited, non-exclusive, worldwide licence to host, store, process, transmit and display your User Content solely as necessary to provide and support the Service, to enable the collaboration and sharing you direct, and as otherwise described in our Privacy Policy. You are responsible for ensuring you have the rights and lawful basis to upload and share your User Content. See our Copyright Policy for ownership and infringement details.
11. Intellectual Property
The Service, including its software, design, branding, trademarks and underlying technology, is owned by Concept Colony Limited and protected by intellectual-property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you.
12. Third-Party Services and Integrations
The Service may integrate with or link to third-party services, including Paystack and authorised integrations you connect. Those services operate under their own terms and privacy practices, and Optraction does not control them. Your use of a third-party service is at your own risk and subject to that provider's terms.
13. Beta and Early-Access Features
We may offer beta, preview or early-access features. These are provided "as is", may change or be withdrawn, and may be less reliable than generally available features. Feedback you provide may be used to improve the Service without obligation to you.
14. Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue parts of the Service, perform maintenance, or impose reasonable usage limits.
15. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or that any content will be accurate or always available.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Optraction and Concept Colony Limited will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business, arising out of or relating to your use of the Service. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
17. Indemnity
You agree to indemnify and hold harmless Concept Colony Limited and its officers, employees and agents from any claims, damages, losses and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.
18. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or where reasonably necessary to protect the Service, other users or to comply with law. On termination, your right to use the Service ends; certain provisions (including ownership, disclaimers, limitation of liability and indemnity) survive. Data handling after termination is described in our Privacy Policy.
19. Changes to These Terms
We may update these Terms to reflect changes to the Service or legal requirements. The revised version will display an updated date, and where changes are material we may provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
20. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles. Subject to any mandatory rights available to you, you agree to submit to the jurisdiction of the courts of Nigeria for the resolution of disputes. Before commencing formal proceedings, the parties will seek in good faith to resolve any dispute by contacting [email protected].
